When you place an order, you submit an offer to purchase. JD9 may accept or refuse your order at its discretion. Your order is not confirmed until we confirm acceptance. We must receive and process payment before acceptance. Please review your order carefully; we may be unable to honor cancellation requests after acceptance. If an order is refused, modified, or canceled, we will notify you using the contact details provided.

Purchases are eligible for returns or exchanges only in accordance with our Refund Policy [LINK].

We are not responsible for shipping or delivery delays. Timeframes are estimates and not guaranteed. We are not liable for delays due to carriers, customs, or events beyond our control. Once products are handed to the carrier, title and risk of loss pass to you.

The Services (trademarks, branding, text, images, graphics, reviews, video, audio, design and arrangement) are owned by JD9 or its licensors and protected by IP laws. Use is permitted solely for personal, non-commercial purposes. Nothing herein grants licenses or rights in JD9, Shopify, or third-party IP. All rights not expressly granted are reserved.

JD9 names, logos, product and service names, designs, and slogans are JD9 trademarks and must not be used without written authorization. Shopify marks belong to Shopify. Other marks belong to their respective owners.

You may access third-party tools as part of the Services. We provide them “as is” and “as available,” without warranties or endorsement. Your use is at your own risk and subject to the providers’ terms. New features may be offered in the future and will be subject to these Terms.

JD9 is powered by Shopify. However, sales you make in our Store occur directly with JD9. By using the Services, you agree Shopify is not responsible for sales between you and JD9. You expressly release Shopify from claims, damages, and liabilities arising from your transactions with JD9.

Personal data collected through the Services is subject to our Privacy Policy [LINK] and, in certain cases, to Shopify’s privacy policy. Shopify collects and processes data about your access and use to provide and improve the Services; data may be transmitted to Shopify and third parties in other countries. We may suspend or terminate accounts for violations.

We may terminate access at any time without notice; you remain responsible for amounts due through the termination date. Provisions that by their nature survive will remain in effect.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JD9, SHOPIFY, AND THEIR AFFILIATES AND PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES (INCLUDING LOST PROFITS, REVENUE, DATA, OR REPLACEMENT COSTS) ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS, OR FROM CONTENT MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

SECTION 17 – INDEMNIFICATION

You agree to indemnify and hold harmless JD9, Shopify, and their affiliates, officers, employees, agents, licensors, and service providers from claims and costs (including attorneys’ fees) arising from (1) your breach of these Terms or incorporated documents; (2) your violation of law or third-party rights; (3) your access to or use of the Services.

SECTION 18 – SEVERABILITY

If any provision is unlawful or unenforceable, it shall be enforced to the maximum extent permitted and deemed severed without affecting remaining provisions.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

No failure to enforce constitutes a waiver. These Terms and posted policies constitute the entire agreement and supersede prior understandings. Ambiguities will not be construed against the drafting party.

SECTION 20 – ASSIGNMENT

You may not assign these Terms without written consent. We may assign or delegate without notice.

SECTION 21 – GOVERNING LAW

These Terms and any separate agreements for the Services are governed by the courts in the jurisdiction where JD9 is domiciled. You and JD9 consent to such venue and jurisdiction.
